| Welcome to PlantKorea’s service. Your use of the service indicates your acceptance of the terms and conditions set forth below. If you do not accept all terms and conditions, however, you may not use the service.
By completing the registration process and clicking “I Agree,” you are indicating your consent to be bound by this Agreement and PlantKorea’s Privacy Policy.
Please read the following terms and conditions carefully :

Article 1 (Purpose)
③ This Agreement seeks to prescribe Cybermall’s and users’ rights, obligations, and responsibilities in using the Internet-related services provided by PlantKorea.com as agreed upon by users. |

Article 2 (Definitions of Terms)
① "PlantKorea" refers to the virtual business place wherein goods or services can be traded using information communications equipment including computers, etc., enabling Korea Plant Industries Association to provide users with goods or services. It also pertains to the cybermall operator.
② "User" pertains to a member and/or a non-member accessing "PlantKorea" and receiving the services provided by "PlantKorea" as per this Agreement.
③ "Member" refers to a person who has provided his/her personal information to "PlantKorea" when registering on the site. A member may continue receiving and using the information and services provided by "PlantKorea."
④ "Non-member" pertains to a person using the services provided by PlantKorea without registering on the site. |

Article 3 (Posting and Amending this Agreement)
① PlantKorea shall post this Agreement, its trade name, the location of its business place, its representative’s name, the tax registration number, and the contact details (telephone number, fax number, email address, etc.) in the Company Introduction page (front) of PlantKorea for the information of the users.
② PlantKorea may amend this Agreement. In this case, it shall specify the effective date and reasons for amendment and post them together with the existing Agreement on the initial screen of the Mall seven (7) days before the effective date until the day prior to the effective date.
③ In case PlantKorea amends this Agreement, the amended Agreement shall apply only to the contracts made after the effective date. For previously concluded contracts, however, the terms and conditions of the original Agreement before the amendment shall apply. In case of a user who has already concluded a contract but who wishes to be bound by the amended Agreement within the period of notification of the amended Agreement and obtains the consent of "PlantKorea," the amended Agreement shall apply. Continued use of the Service shall also signify the acceptance of the amended Agreement. |

Article 4 (Provision and Modification of Service)
① PlantKorea shall provide the following services:
1. Provide information on goods or services and enter into a purchase contract.
2. Deliver goods or services based on the purchase contract.
3. Perform other works assigned by "PlantKorea."
② PlantKorea may modify the content of the goods or services pursuant to the contract to be concluded in case of goods that are out of stock, changes in technical specifications, etc. In this case, PlantKorea shall specify the modified content of goods or services and date of provision and post them where the existing content of goods or services was posted seven (7) days prior to the date of provision.
③ PlantKorea reserves the right to change, upgrade, modify, restrict, or suspend the service or any of its related functions or applications at any time temporarily or permanently without prior notice. In addition, it reserves the right to introduce new features, functions, or applications to the service or to future versions of the service. Unless stipulated otherwise by PlantKorea, all new features, functions, applications, modifications, upgrades, and alterations shall be governed by this Agreement. |

Article 5 (Suspension of the Service)
① In the event of repair, checkup, or replacement of information communications facilities including computers, equipment malfunction, disruption of communication, etc., PlantKorea may suspend the provision of the service.
② In case the service is suspended as set forth in Clause ①, Article 5, PlantKorea shall notify users accordingly as set forth in Article 8.
③ PlantKorea shall indemnify a user or a third party for any and all losses or damages sustained as a result of the suspension of the provision of the service as set forth in Clause ①, Article 5 based on the amount of subscription fees paid by the member as allocated (on a pro-rata basis) according to the unused portion of the subscription period. In the absence of any malicious intent, or if the negligence of PlantKorea cannot be proven, however, this provision shall not apply. |

Article 6 (Application for Membership)
① A user may apply for membership by filling out the membership form provided by PlantKorea and indicating his/her intention to agree to this Agreement.
② Except under any of the following circumstances, PlantKorea shall register the user who applies for membership as set forth in Clause ①, Article 6 as a member:
1. The applicant was previously disqualified from membership as set forth in Clause ③, Article 7; if three (3) years has passed since the disqualification of an applicant from membership as per Clause
③, Article 7 and he/she obtains approval for becoming a member of it again from "PlantKorea," however, this provision shall not apply .
2. Information has been falsified, omitted, or miswritten during the registration process.
3. PlantKorea is deemed to be facing major technical difficulties as a result of registering the applicant as a member. |
③ A membership contract shall be deemed to have been concluded when the applicant obtains the consent of "PlantKorea."
④ A member shall immediately notify PlantKorea of any change in the facts registered as set forth in Clause ①, Article 15 via email or other appropriate methods. |

Article 7 (Unsubscription and Disqualification from Membership, etc.)
① A member may unsubscribe from PlantKorea at any time. Likewise, PlantKorea shall immediately comply with such request.
② PlantKorea may restrict or suspend membership for any of the following members:
1. Members who falsified information in their applications
2. Members who fail to pay their obligations on the due date for the use of PlantKorea’s service including the price of goods or services purchased through PlantKorea
3. Members who prevent others from using PlantKorea’s service or hamper electronic transactions
4. Members who engage in any act using PlantKorea’s service in violation of laws and/or this Agreement or contrary to good public order and customs |
③ If the same act is repeated at least twice, or the reason is not corrected within 30 days of the suspension of membership, PlantKorea may disqualify the member for membership.
④The membership registration of a member is canceled when PlantKorea disqualifies him/her for membership. |

Article 8 (Notice to a Member)
① PlantKorea may send notices to members using the email addresses they provided.
② In case notices need to be sent to many unspecified members, an announcement may be posted on the bulletin board of PlantKorea for at least one week in lieu of sending individual notices.

Article 9 (Purchase Request)
A user of PlantKorea’s service may request for purchase at PlantKorea based on the following procedure:
1. Enter your name, address, and telephone number.
2. Select the goods or services.
3. Select a payment method.
4. Signify your agreement to this Agreement by clicking "I Agree." |

Article 10 (Conclusion of Contract)
① Except under any of the following circumstances, PlantKorea shall comply with any purchase request made as set forth in Article 9:
1. Information has been falsified, omitted, or miswritten in the application.
2. A minor purchases goods or services in violation of the relevant laws, e.g., cigarettes, liquor, etc.
3. PlantKorea is deemed to be facing major technical difficulties as a result of complying with a purchase request. |
② A contract is deemed to have been concluded when a user obtains PlantKorea’s consent through a notice of confirmation of receipt as set forth in Clause ①, Article 12.

Article 11 (Payment Method)
Goods or services purchased through PlantKorea may be paid using any of the following methods:
1. Bank transfer
2. Automatic payment transfer
3. Credit card payment
4. Cash payment |

Article 12 (Notice of Confirmation of Receipt and Change and/or Cancellation of Purchase Request)
① Upon receiving a purchase request from a user, PlantKorea shall issue a notice of confirmation of receipt.
② Once the notice of confirmation of receipt is received, the user may request for a change or cancellation of a purchase order in case of any disagreement in the expression of intention.
③ PlantKorea shall immediately comply with any request for change or cancellation prior to delivery. |

Article 13 (Protection of Personal Information)
① When receiving a user’s personal information, PlantKorea collects the basic information as necessary for the fulfillment of purchase contracts.
② When collecting personally identifiable information, PlantKorea must obtain the user’s consent.
③ Any personal information provided by users shall be governed by the Privacy Policy. |

Article 14 (PlantKorea’s Obligations)
① The Mall shall refrain from engaging in any act in violation of this Agreement or contrary to good public order and customs and shall do its to provide goods or services continuously and stably according to the terms and conditions of this Agreement.
② PlantKorea shall be equipped with a security system for protecting the personal information (including credit information) of users to enable them to use the Internet service safely.
③ PlantKorea shall be liable for the indemnification of users for any resulting loss due to the placement of unjust advertisement regarding gobestods or services as set forth in Article 3. |

Article 15 (Member’s Responsibilities)
① Notwithstanding Article 13, members shall be responsible for managing their IDs and passwords.
② Members shall not allow a third party to use their IDs and passwords.
③ A member who learns that his/her ID and password have been stolen and used by a third party shall immediately notify PlantKorea accordingly and follow its instructions.
④ Members shall provide true/accurate/up-to-date/complete information at the request of PlantKorea and agree to update such information. Each member grants an irrevocable, uninterrupted, international, royalty-free, sub-licensable license to PlantKorea to display and use all information he/she provided in accordance with the purpose set forth in this Agreement and to exercise the copyright, right of publicity, and database rights he/she has to such material or information in any currently known or unknown media.
⑤ Each member agrees to indemnify PlantKorea and its employees, agents, and representatives and to exempt them from liability for any and all losses, claims, and liabilities (including legal costs on a full indemnity basis) that may arise from submitting, posting, or deleting information in relation to his/her use of the service or breach of this Agreement.

Article 16 (User’s Obligations)
Users shall not engage in any of the following acts:
1. Act of falsifying information in their applications or changes
2. Act of changing the information posted on PlantKorea
3. Act of transmitting or posting information (including a computer program) other than those that have been set forth by PlantKorea
4. Act of infringing on any and all intellectual property rights of PlantKorea’s and a third party’s copyrights
5. Act of bringing disgrace to PlantKorea and a third party or obstructing their business
6. Act of opening or posting obscene or violent video and/or audio and information contrary to good public order and customs on the Mall |

Article 17 (Relationship Between Connecting PlantKorea and Connected PlantKorea)
① When connected via the hyperlink method (e.g., letters, pictures, dynamic images, etc., are included therein), etc., the superior PlantKorea is called connecting PlantKorea (website), and the inferior PlantKorea is dubbed connected PlantKorea (website).
② The connecting PlantKorea does not guarantee any transaction with users involving goods or services provided independently by the connected "PlantKorea."

Article 18 (Ownership of Copyright and Restrictions in Use)
① The copyright and other intellectual property rights to the works made by PlantKorea are owned by "PlantKorea."
② Users shall neither reproduce, transmit, publish, distribute, broadcast, or use for commercial purposes based on other methods nor allow any third party to use any information obtained through PlantKorea without its prior consent. |

Article 19 (Jurisdiction and Governing Law)
① Any and all disputes arising from electronic transactions between PlantKorea and users shall be governed by the laws of Korea.
② In case of any electronic transaction lawsuit filed between PlantKorea and users, the courts of Korea shall have jurisdiction. |
